(4) During the term of the ground lease, the City shall <br />have the right to approve the policies, procedures and budgets <br />for the operation and management of the Project. <br />(5) Upon the termination of the ground lease, all <br />right, title and interest in the Land and Project shall vest in <br />the City for the purchase price of one dollar. <br />E. The parties intend for the terms of this Lease to <br />be consistent with the representations made in the HDG <br />Application. The parties also intend for the rights of the <br />parties hereunder to be consistent with the parties' original <br />decision to lease the Land and give ownership of the Project to <br />Eden Housing, Inc. (or to a limited partnership, the sole general <br />partner of which is Eden Housing, Inc.) solely for the purpose of <br />complying with HDG regulations. The parties acknowledge that the <br />City has made, and will continue to make, concessions and <br />substantial financial contributions to the Project in <br />consideration of receiving (i) extraordinary approval rights with <br />regard to the Project's operation, management and financing, and <br />(ii) fee ownership of the Project and Land, free of any of the <br />Lessee's interests therein upon the termination of this Lease. <br />NOW, THEREFORE, in consideration of the mutual <br />covenants and conditions contained herein, the City of <br />Pleasanton, as the Lessor, and Eden Housing, Inc., as the Lessee, <br />hereby agree as follows: <br />1. Definitions. The capitalized terms used in this Lease <br />shall have the meanings ascribed to them in this Section 1. <br />Annual Oneratina Budget shall mean the annual operating <br />budget approved by the City of Pleasanton. <br />City shall mean City of Pleasanton, California. <br />C:GDLEASE.EHI -3- <br />
