unreasonably be withheld. Excepted from the aforementioned <br /> restrictions shall be the ability of the principals of Pleasanton <br /> Garbage Service, Inc. to transfer their interests to related <br /> parties. <br /> 24.2 Right of First Refusal. Collector and City agree <br /> that City shall have a right of first refusal to purchase the <br /> business under the terms and conditions of any Bona Fide sales <br /> contract which Collector desires to accept. City shall have <br /> thirty (30) days from the date it receives notice from Collector <br /> of a Bona Fide offer to purchase, to notify the Collector of its <br /> desire to purchase the business under the same terms and <br /> conditions as set forth in the notice. If City does not respond <br /> within said thirty (30) days then it shall be deemed to have <br /> waived its right of first refusal. This right shall not extend <br /> to sales, assignments, or other transfers of the stock or <br /> beneficial interest of the corporation of Collector between <br /> related parties. <br /> The City shall have the option to require reasonable <br /> conditions as approval for any said sale or transfer, including <br /> conditions as to franchise term and services. Provided, however, <br /> that in no event shall the franchise terminate prior to June 30, <br /> 2000. Provided further, that should any said sale or transfer <br /> occur after June 30, 2000, the term of the Agreement shall not be <br /> reduced to less than three (3) years from the effective date of <br /> said sale or transfer. <br /> 24 <br />
