The Class B membership shall cease on the <br /> recording in the Office of the Recorder of Alameda <br /> County of an amendment to the Declaration, executed <br /> only by Valley Business Associates, stating that the <br /> Class B membership has ceased. <br /> 13 .4 Selection of Board of Directors . Members of <br /> the Board of Directors shall be elected according to the <br /> procedures established by the Articles and Bylaws, as <br /> amended from time to time. Directors may be, but need not <br /> be, Owners . <br /> 13 . 5 Dissolution of Association. It is Declar- <br /> ant' s intent, and the Articles and Bylaws may so provide, <br /> that upon the formation of a landscaping or street lighting <br /> maintenance district, or both, ( "District" ) to maintain the <br /> Common Area, the Association shall be dissolved, and all the <br /> rights, powers, duties and obligations of the Association <br /> shall be transferred to and assumed by Declarant. The <br /> District may be formed before or after the sale, transfer or <br /> conveyance of any Lot by Valley Business Associates or Sente <br /> Associates Seven to a third party.
