o <br /> <br />Shelter Services Provider_ <br />The PARTICIPATING ENTITIES intend to utilize a service provider for the "day- <br />to-day" operations of the SHELTER. Such services may include, but are not <br />limited to, the r~ceiving of live animals, providing live animals at the SHELTER <br />with food, water, farrier and/or veterinm'y care, euthavi~Jr~g anJ~21.% not <br />otherwise adopted, redeemed, sold or donated to adoption organizations, the <br />disposing of dead anixvai~, maintaining records regarding SHELTER activities <br />including financial matters, preparation of ann~_~al operating budget, SHELTER <br />maintenance, and public information serwces. <br /> <br />Co_n_~ract Amendments <br />This AGREEMENT fully expresses the intent of the PARTICIPATING EN-l'litl~S <br />with respect to the maintenance and operation of the SHELTEIL Any <br />modification/amendment, or alternation of the terms and conditions of this <br />AGREEMENT must be by means of a contxact amendment approved by a <br />majority of the pARTICIPATING ENTITLES. Except that during the term that the <br />A!~meda County Sheriff's Department is the service provider, any modification <br />and/or changes to Section 2C of the agreement shall require the approval of the <br />CITIES and the COUNTY. No oral conversation between any officer or employee <br />of the PARTICIPATING ENTITIF-q shall modify any of the terms and conditions <br />of this AGREEMENT. <br /> <br />It is understood and agreed that pursuant to Government Code Section 895.4 each <br />every other entity and its officers and employees, from att o~,-~, .o~, - of <br />of every named kind and description resulting from indemnitor performance <br />the AGREEMENT, excluding anY injuries, death, damage or liability resulting <br />from the negligence or willful misconduct of the indemnitee or its officers or <br />employees. <br /> <br />If any term or provision of this AGREEMENT shall to any extent be determined <br />by a court of competent jurisdiction to be invalid or unenforceable the remainder <br />of th~ AGREEMENT shall not be effected thereby, and each term and provision <br />of this AGREEMENT shall be valid. <br /> <br />This AGREEMENT shall be in full force and effect unless otherwise terminated <br />by a majority of the pARTICIPATING ENI'! ! rES. <br /> <br />3 <br /> <br /> <br />
