LETTER OF AGREEMENT

ALAMEDA COUNTY FAIR ASSOCIATION
AND THE COUNTY OF ALAMEDA

This Letter of Agreement (Agreement) is between the Alameda County Fair Association
(Association) and the County of Alameda (County) and represents a supplement to the
Contract (providing for operations of the County Fair) between these two entities.
Further, this Agreement is in effect from the date of the Board of Supervisors' approval
and is subject to modifications in the future with the concurrence of both entities.

Significant language sections of the Contract and all elements of this Agreement are
included in the Association's Implementation Plan and timetable. The Association's Plan
responds to the management consultants' findings and recommendations outlined in the
Fair Management Audit report recently submitted to both the Association and the
County.

More importantly, this Agreement, reflects the commitment of the Association, its Board
of Directors and managers and the County to continue to implement positive changes in
the management and operations of the Association.

Public Comment and Participation

A. The Association's meetings will be open to the public, and the Association
will provide adequate notice of meetings, including their draft agenda.

B. The Association will provide sufficient time, using the County as a guide,
for public input/comments at the beginning of their meetings.

C. The Association and management at a minimum will:

1. Establish a process for the public to provide input on Fair and non-
Fair activities; and

2. Provide basic information to the public upon request (e.g. budget,
organization, Directors' names/terms, scheduling of upcoming
events, contracts with the County, etc.).
