_CONTRACT PROVIDING FOR OPERATION OF THE ALAMEDA COUNTY FAIR THIS CONTRACT, made and entered into this 23rd day of September, 1997, by and between the COUNTY OF ALAMEDA, a political subdivision of the State of California, hereinafter referred to as "County," and the ALAMEDA COUNTY AGRICULTURAL FAIR ASSOCIATION, a non-profit California corporation, hereinafter referred to as "Association." This contract supersedes all previous contracts made between the County and the Association. WITNESSETH: WHEREAS, the County is the owner of those certain fairgrounds and the facilities thereon generally known and designated as the "Fairgrounds," Pleasanton, California, which are used to exhibit, display and advertise the agricultural, viticultural, livestock, and other products of the County; and, WHEREAS, the County desires and intends that the annual Alameda County Fair for the years 1998 through 2002 (and any years covered by any renewals of this contract) be held and conducted on the Fairgrounds by the Association as the County's agent who shall have the use and possession of the Fairgrounds during the term of this agreement (including any renewals thereof) for that purpose and for such other purposes commonly known and referred to as interim event activities as hereinafter defined. WHEREAS, certain State monies are now or shall hereafter be appropriated to be apportioned in accordance with Section 4401 of the Food and Agricultural Code and roles and regulations adopted pursuant thereto; and, WHEREAS, it is mutually understood by and between the parties hereto that the law of the State of California vests in the County, and none other, the power and authority to hold and conduct the annual county fairs. NOW, 1. THEREFORE, IT IS AGREED AS FOLLOWS: Appointment of Agent and Term of Agreement: Pursuant to Government Code section 25905 the County does hereby appoint the Association as its agent for a period of five (5) years, commencing October 1, 1997 to September 30, 2002, to use, possess and manage the Fairgrounds and to hold and conduct the Alameda County Fair, as the County's agent, on dates hereafter selected by the Association, and the Association does hereby accept the appointment and shall exercise its lawful powers as set forth in its Articles of Incorporation and By-laws in the performance of the services herein described. Any amendment or amendments of Association's Articles or By-laws which affect its powers under this contract or affect the membership of its Board of Directors or their duties shall be consistent with the provisions of this contract.
