adhere to the compensation rates paid by the County. The Association shall <br />annually submit to County's Director of General Services or the appropriate County <br />department a written plan for maintenance of buildings and other property of the <br />County, including a schedule of maintenance projects, showing those that are <br />special projects and those that are recurring, along with estimated costs. The plan <br />shall provide sufficiently detailed information to assure County that the buildings <br />and equipment at the Fairgrounds are being properly maintained. <br /> <br />Reservation of Right to Perform Road and Association Work by County Forces: <br />County reserves the right, in its sole option, to cause road work, grading, <br />maintenance of grounds, and associated works, including provisions for drainage <br />and technical advice involving engineering matters to be performed by County <br />forces and/or through the use of County equipment. In writing, the Association <br />will inform the County Public Works Agency or the appropriate County <br />department of all such activities. The cost of such work and/or the use of <br />equipment shall be charged against the Special Fair Trust Fund. No work be <br />performed by the County pursuant to this paragraph without the approval of the <br />Association. <br /> <br />Conduct by Association -- Duties: It shall be the Association's primary duty to <br />operate the annual Fair and such other activities throughout the year as the <br />Association shall deem advisable within the Association's policies and practices, <br />and to maintain the Fairgrounds during the term of this agreement for those <br />purposes. The Association shall, in addition to any other duties otherwise <br />conferred herein, do the following: <br /> <br />Grant permits, licenses and/or concessions for the conduct of lawful <br />enterprises or activities by individuals, institutions, corporations, or <br />associations upon the Fairgrounds. <br /> <br />B. Establish rules and regulations for use of the Fairgrounds. <br /> <br />C. Fix the amount of rentals or other charges for the use of property. <br /> <br />Enter into such written agreements as are necessary to effectuate the <br />purposes of this agreement. All such agreements, except those within the <br />Association's policies and practices, shall have the approval of a quorum <br />of the total authorized membership of the Association's Board of Directors <br />and such approval shall be noted on the minutes'of the Board of Directors. <br /> <br />Employ, subject to the provisions of Section 5 hereof, such persons as may <br />from time to time be necessary, and pay such employees. The Association <br />shall also formulate rules governing the conduct of employees of the <br />Association and establish personnel policies for all employees, covering <br />such matters as vacations, sick leave, military leaves, overtime, layoffs, or <br />leaves of absence, bt~t in no event shall such provisions be more liberal <br />than those established for general County employment.
