. . J. REVIE[,~_O~ COF~RAC'~ AND COi,~RACT MODIFICATION.
This contract may be amenged or modified at any time by mutual
agreement of the parties, except insofar as any proposed modifications or
amendments are in any way contrary to applicgole law.

It is recognized and agreed that conditions upon which this

contract was negotiated could be subject to change in the coming years. It
is, therefore, mutually agreed that this contract will be reviewed no later
than three (3) years from the date of this contract and at five (5) year intervals
thereafter, or at any time a major and substantial change of conditions becomes
apparent in the opinion of either the Applicant or Zone 7.

The purpose of the review shall be to update the contract and to

allow for revisions to the "Independent Quota" as may be necessary to adhere
to the underlying principle in the face of changing conditions and additional
information. However, it is agreed that any proposed change in "Independent
Quota" of Applicant in confon~ance with the principles and brought about by
changed conditions should maintain reasonable equity be~een all areas of Zone
?. The principle underlying the fixing of the "Independent Q~ota" herein
provides generally that the available groundwater of the Livermore-B_uador
Groundwater Basin within Zone 7 as limited by the safe yield of the groundwater
basin may be used directly by the various users and by the contracting agencies

on a reasonably equitable basis. A combination of actual use and estimated
future use was the basis for allocation of esti~i~ated availgole water for
"Independent Quota" purposes to the three major coca, unities of Dublin, Live~aore
and Pleasanton. Applicant's Independent Quota was based on the average annual
amount of a portion of the allocated availgole water to Applicant's area over
an extended future period of time. A more detailed explanation of the basic
principles is attached hereto as Exhibit C.
