VIi. CANCELLATION OF AGREEMENT <br /> <br />This Agreement may be cancelled at any tirne by CITY upon written notification to <br />CONSULTANT. CONSULTANT shall be entitled to receive full compensation <br />payment ~or al! services performed and all costs incurred to the date ol receipt of <br />written notice to cease work on the PRO3ECT. CONSULTANT'S compensation for <br />servic~ performed shall be based upon time-and-materials rates listed in Exhibit A, <br />using actual man-hours of work performed and expenses incurred to date of notice to <br />cease work, as verified by CONSULTANT'S and sub-consultant's employee time <br />records up to but nor exceeding the total amount allowed herein for that item of <br />work in progress. CONSULTANT shall be entitled to no further compensation for <br />work performed after the date of receipt of written notice to cease work on the <br />PRO~IECT. CiTY shall receive a copy of all work completed to date of receipt of <br />written notice from CONSULTANT. <br /> <br />VIll. INDEMNIFY AND HOLD HARMLESS <br /> <br />CONSULTANT shall defend, indemnify, and hold harmless, the CITY and its officers <br />and employees from and against all claims, losses, damage, injury, and liability for <br />damages arising from errors, ommission, negligent or wrongful acts of the <br />CONSULTANT in the performance of his services under this Agreement. This <br />indemnification shall extend lot a reasonable period of time after completion of the <br />PRO3ECT as well as during the period of actual performance of services under this <br />Agreement. Acceptance of the insurance certificates required under this Agreement <br />does not relieve the CONSULTANT from liability under this indemnity and hold <br />harmless clause. <br /> <br />CITY'S contract for construction of PRO3ECT shall require contractor to defend, <br />indemnify, and hold harmless the CONSULTANT, his oflicers and employees from and <br />against all claims, losses, damage, injury and liability for damages arising from <br />errors, ommission, negligent or wrongful acts of contractor in the perlormance of its <br />services under said construction contract. <br /> <br /> <br />
