NOW, THEREFORE, <br />AS FOLLOWS: <br /> <br />FOR THE PROMISES EXPRESSED HEREIN, THE PARTIES AGREE <br /> <br /> 1. es ons'bil' ies <br /> a. ZONE 7 shall inspect the bank reconstruction. <br /> b. ZONE 7 shall reimburse the City for the final cost for the bank <br /> reconstruction, said cost not to exceed $20,500.00. <br /> c. CITY shall prepare plans and specifications for the Project and <br /> <br /> shall submit said plans and specifications to ZONE 7 for review <br /> and approval prior to commencing work on the Project. <br /> 2. PaYment <br /> <br /> a. ZONE 7 shall reimburse CITY for the cost contained in paragraph <br /> lb above based on payments to the contractor. <br /> <br /> b. CITY shall assume all cost of plan preparation and project <br /> <br /> administration. <br /> 3. Term and Termination <br /> <br /> The term of this Agreement shall commence on the date of its <br />execution by both parties. This Agreement shall terminate upon the <br />acceptance by both parties of the work herein provided or on October 1, <br />1992, whichever occurs earlier. <br /> <br /> 4. Liability <br /> <br /> a. Neither ZONE 7 nor any officer or employee thereof shall be <br /> responsible for any damage or liability occurring by reason of <br /> anythin~ done or omitted to be done by CITY under or in <br /> connection with any work, authority or jurisdiction not <br /> delegated to or performed by ZONE 7 under this agreement or <br /> otherwise. Pursuant to Government Code 895.4, CITY shall fully <br /> indemnify and hold ZONE 7 harmless from any liability imposed <br /> for injury (as defined by Government Code 810.8) occurring by <br /> <br />2 <br /> <br /> <br />
