During said City Council Review, the Owners <br /> <br /> or successor in interest thereto shall be required to demonstrate <br /> good faith compliance with the terms of this Development <br /> Agreement. <br /> <br /> f. If the Director does not, in the exercise of <br /> reasonable discretion, set the matter for City Council <br /> review, then good f~i~h compliance by tlhe Owners with~the <br /> terms of this Development Agreement shall be presumed and <br /> compliance with Government Code §65865.1 shall be conclusively <br /> established as between the parties to this Development <br /> Agreement. <br /> <br /> 10. Assignment. <br /> <br /> Owners shall have the right to sell, assign, or <br /> <br />transfer this Development Agreement with all its rights, <br />title and interest therein tc any person, firm or corporation <br />at any time during the term hereof in conjunction with a <br />transfer of the entire parcel. Express assumption of 'any of <br />the obligations of the Owners under this Development A~reement <br />by any such assignee shall relieve ~ners from said obligation <br />or obligations hereunder. <br /> <br /> 11.
