Item #8
CITY COUNCIL AGENDA REPORT

May 7, 2024
Community Development

TITLE: APPROVE AND AUTHORIZE THE CITY MANAGER TO EXECUTE THE SECOND
AMENDMENT TO THE MAINTENANCE SERVICES AGREEMENT WITH ST.
FRANCIS ELECTRIC FOR ROUTINE SIGNAL MAINTENANCE, SIGNAL
UPGRADES, AND EMERGENCY REPAIRS, EXTENDING THE CONTRACT TERM
TO JUNE 30, 2025, INCREASING THE RATES FOR MAINTENANCE OF
INTERSECTIONS, BEACONS, AND IN-PAVEMENT LIGHTS, AND AMENDING
THE COMPENSATION TO A NOT-TO-EXCEED ANNUAL AMOUNT OF $500,000

SUMMARY
The City operates over 120 traffic signals within Pleasanton. Routine maintenance and
emergency repair of these signals is performed by St. Francis Electric, which has been
performing routine signal maintenance, signal upgrades, and emergency repairs for the City
since 2021 when it was selected following a competitive bidding process. The terms of the
original agreement included an initial term of two years, with an option for two one-year
extensions. The first amendment to the contract extended the term by one year, through June
30, 2024. This requested Second Amendment extends the contract term for the final year,
through June 30, 2025. This Second Amendment also includes an increase to the monthly flat
rates for routine maintenance per intersection, from $130.25 to $136.24, and increases the flat
rate for per-beacon and in-pavement lights maintenance from $62.52 to $65.40. The original
agreement did not include a “not-to-exceed” amount as the emergency work performed under
the contract is not consistent on a month-to-month basis. This Second Amendment also
includes an annual “not-to-exceed” amount of $500,000; this maximum applies to all work
performed under the contract, including routine traffic signal maintenance, signal upgrades,
and emergency repairs.

RECOMMENDATION
Approve and authorize the City Manager to execute the second amendment to the
Maintenance Services Agreement with St. Francis Electric for routine signal maintenance,
signal upgrades, and emergency repairs, extending the contract term to June 30, 2025,
increasing the rates for maintenance of intersections, beacons, and in-pavement lights, and
amending the compensation to a not-to-exceed annual amount of $500,000.

BACKGROUND
The City has utilized an outside contractor for signal maintenance and repair for more than 20
years as this service is highly specialized, requiring specific contractor licenses, equipment,
vehicles, and technical knowledge. In July 2021, the City entered into a two-year contract with
St. Francis Electric for maintenance and repair of the City’s traffic signals. The agreement with
St. Francis included the option for two additional one-year extensions, the first of which was
issued at the mutual agreement of the City and St. Francis at the end of the initial two-year
term in 2023, thereby extending the contract through June 30, 2024.

Page 140 of 448Page 149 of 557
