FIRST AMENDMENT TO <br />AGREEMENT BETWEEN ZONE 7 WATER AGENCY AND THE CITY OF PLEASANTON FOR THE <br />REGIONAL GROUNDWATER FACILITIES PROJECT – PHASE I FEASIBILITY STUDY <br />This First Amendment (“First Amendment”) is entered into on November 19, 2024, between the Alameda County <br />Flood Control and Water Conservation District, Zone 7, a public body, corporate and politic, (“Zone 7” or “Zone 7 Water <br />Agency”) and the City of Pleasanton, a municipal corporation (“City”). Zone 7 and City may be referred to individually as <br />party, or collectively as parties. <br />RECITALS <br />WHEREAS, on August 8, 2024, Zone 7 and the City entered into an Agreement For The Regional Ground Water <br />Facilities Project – Phase I (“Agreement”); and <br />WHEREAS, the parties wish to amend the Agreement to increase the not-to-exceed limit for the total costs of Phase I. <br />NOW, THEREFORE, for valuable consideration of the contributions and commitments hereinafter set forth, <br />both parties agree as follows: <br />Section 1. The first sentence of section 3 of the Agreement (Cost-sharing) is amended to read as follows: <br />Zone 7 and the City shall share the cost of Phase I-Feasibility Study for the consultant and construction contract <br />with cost sharing of One Million, Four Hundred Forty Nine Thousands, Nine Hundred Forty Seven Dollars <br />($1,449,947.00) for Zone 7 and One Million, Two Hundred Eighty Three Thousands, Two Hundred Thirty One <br />Dollars ($1,283,231.00) for Pleasanton, for a total cost of Phase 1 for an amount Not-To-Exceed Two Million, <br />Seven Hundred Thirty Three Thousands, One Hundred Seventy Eight Dollars ($2,733,178.00) including a 10% <br />contingency. <br />Section 2. All other terms and conditions of the Agreement shall remain in full force and effect. <br />Section 3.
