4 of 5 <br />5.Additional time or work resulting from discrepancies,errors,or inaccuracies shown in furnished <br />documents and materials,including legal,topographic,utility surveys,geotechnical reports,soils <br />testing,tree reports or arborist services,or unforeseen conditions. <br />7.Payment <br />Billing will be presented monthly in proportion to the work completed.Payments are due within 30 <br />calendar days of invoice date.Outstanding invoices will incur interest charges at the rate of 3%per <br />month. <br />8.Insurance <br />The following are VMWP’s standard Insurance: <br />Workers Compensation Insurance:$1,000,000 As required by the State of California <br />Auto (Combined Single Limit):$1,000,000 <br />Comm’l.Gen’l.Liability:Single Limit:$1,000,000 <br />Aggregate:$2,000,000 <br />Professional Liability (E&O):$5,000,000 (Aggregate) <br />A generic certificate of insurance is attached at Exhibit B.VMWP’s policies shall name City of <br />Pleasanton as additionally insured to the reasonable ability of our insurance carriers. <br />9.Termination and Authorization to Proceed with Partial Scope <br />In relation to the above consulting services,the incremental and on-call nature of this agreement <br />precludes a maximum (Not to Exceed)contract amount.However,City of Pleasanton hereby <br />authorizes VMWP LLP to proceed with the above Scope of Services. <br />VMWP LLP will proceed with the above services subject to each of the following: <br />1.Either party shall be entitled to terminate this agreement by seven days written notice to the <br />other party.In that event,City of Pleasanton shall be obligated to reimburse VMWP,LLP for expenses <br />incurred prior to the termination notice and through the seven day noticing period.The amount <br />payable shall be based on the attached hourly rate schedule. <br />If this fee proposal and general terms are agreed to please attach this agreement to your desired formal <br />contract and provide to VMWP for review and signature. <br />Docusign Envelope ID: 28F5B703-43CA-4A9C-9D94-D367760F2C73Docusign Envelope ID: A8109593-EE7E-444C-A9E2-9F18AE6CF9A4
