TO INCREASE THE ANNUAL NOT-TO-EXCEED AMOUNT BY AN
ADDITIONAL $50,000 PER FISCAL YEAR WITH THE ANNUAL COMPENSATION
NOT TO EXCEED $350,000 FOR FISCAL YEAR 2024/25 AND ALL
SUBSEQUENT FISCAL YEARS FOR THE REMAINDER OF THIS AGREEMENT,
BRINGING THE TOTAL COMPENSATION TO $1,050,000 FOR THE THREE-
YEAR TERM

SUMMARY
The City is responsible for ensuring that essential facilities—including potable water pumping
stations, sewer lift stations, stormwater pump stations, fire stations, police stations, and the
Operations Services Center—are equipped to operate using backup generators during
emergencies, power outages, or Pacific Gas & Electric Company (PG&E) Public Safety Power
Shutoff (PSPS) events. These facilities must remain functional when power is unavailable due
to seismic activity, wildfires, or other emergencies.

In May 2024, the City Council approved an agreement with Got Power, Inc. (dba CD & Power)
for backup generator repairs, as-needed generator rentals, and emergency repair services. In
Fall 2024, the City Council approved a first amendment to expand the scope of work to include
additional maintenance services. A second amendment is now requested to increase the
contract capacity by $50,000 for Fiscal Years 2024/25 and 2025/26, ensuring continuity of
generator services.

RECOMMENDATION
1. Approve a second amendment to the agreement with Got Power, Inc. to increase the
not-to-exceed annual amount by an additional $50,000 per fiscal year with the annual
compensation not to exceed $350,000 for Fiscal Year 2024/25 and all subsequent fiscal
years for the remainder of this agreement, bringing the total compensation to
$1,050,000 for the three-year term
2. Authorize the City Manager to execute the second amendment to the agreement with
Got Power, Inc.

BACKGROUND
In May 2024, the City entered into an agreement with Got Power, Inc. for the maintenance and
repair of City-owned backup generators, annual load bank testing, and as-needed generator
rentals. The agreement also includes after-hours and weekend emergency repairs. With the
increasing frequency of PG&E PSPS events, this contract has been critical in ensuring
uninterrupted operations through portable generator rentals.
