<br />AGREEMENT FOR COMPLETION OF IMPROVEMENTS <br />TRACT No 8676 <br />Page 1 of 2 <br />Agreement Between the <br />CITY OF PLEASANTON and <br />TRI POINTE HOMES HOLDINGS INC. <br />FOR COMPLETION OF IMPROVEMENTS <br /> <br />This Agreement ("Agreement") is entered into on __________________, 2025, by Tri <br />Pointe Homes Holdings Inc. dba Tri Pointe Homes ("Contractor") a Delaware corporation, and <br />the City of Pleasanton ("City"), a municipal corporation. <br /> <br />WHEREAS, on or about ____________, 2025, City entered into a Subdivision <br />Improvement Agreement ("Improvement Agreement") with Harmony - Pleasanton, L.P., a <br />Delaware limited partnership, ("Subdivider") in connection with the construction of subdivision <br />improvements described in Section 2 (Work) of the Improvement Agreement ("Improvements"); <br />and <br /> <br />WHEREAS, Contractor desires to assume all of Subdivider’s rights, duties, and <br />obligations under said Improvement Agreement as more particularly set forth in this Agreement; <br />and <br /> <br />WHEREAS, Section 7 (Security) of the Improvement Agreement requires that <br />Subdivider provide City with improvement security. Subdivider desires to transfer this <br />obligation to Contractor according to this Agreement and Contractor agrees to complete <br />construction of the Improvements prior to release of said improvement security; and <br /> <br />NOW, THEREFORE, in consideration of the foregoing recitals, the mutual covenants <br />contained in this Agreement, and other good and valuable consideration, the receipt and <br />sufficiency of which is hereby acknowledged, the Parties agree as follows: <br /> <br />1. Contractor hereby agrees to complete the Improvements in accordance with the <br />Improvement Agreement, a copy of which is attached hereto and incorporated herein as <br />Exhibit "A" between Subdivider and City; and <br /> <br />2. Contractor hereby agrees to provide to City a Performance Bond, Labor and Materials <br />Bond, and Maintenance Bond as described in Section 7 (Security) of the Improvement <br />Agreement, each of which names both Subdivider and the City as obligees before it <br />commences work under this Agreement. <br /> <br />3. Contractor hereby agrees to indemnify the City in accordance with Section 10 (Hold <br />Harmless Agreement) of the Improvement Agreement and provide to the City the <br />insurance described in Section 11 (Insurance) of the Improvement Agreement during the <br />full term of this Agreement. <br /> <br /> <br />Page 172 of 682
