City of Pleasanton
Consulting Services - AMI Procurement and Program Management
10 | P a g e

ensure that all program activities are conducted in a manner that support Pleasanton’s long-term goals
and values and establishes a solid foundation for the program’s success. Objectives: Ensure alignment
with organizational policies and strategic objectives; Enhance accountability and transparency within the
program; Improve decision-making and oversight processes; Mitigate risks and manage issues effectively
and Foster stakeholder trust and engagement.
Program Governance will occur at the beginning of the program during the startup phase and provide
a framework that defines the roles, responsibilities, processes, reporting requirements, and
relationships among the stakeholders. The Program Governance framework includes: Program Charter
including program goals and objectives, risks and risk management approaches and monitoring process,
Organizational Chart identifying stakeholders and team members, RACI Matrix establishing roles and
responsibilities, Leadership and Steering Committee groups, Communication plan to understand how
each stakeholder will be kept engaged, Reporting Requirements, Escalation Protocols and Approval
Authorities.
Project Charter
At the beginning of the Startup subphase, prior to any vendor engagement, Diameter will develop a
Project Charter which will capture the goals and objectives of the project, high level scope, timelines and
budgets, roles and responsibilities, risks, and a milestone plan. The goal of this document is to ensure
that all those engaged are aligned on the purpose of the program, what will be accomplished, when and
by whom.
Organizational Chart
Diameter will also work with Pleasanton and Vendor project teams to develop an organizational chart
which identifies key project resources who will need to be engaged and the reporting relationship of all
team members. An Organizational Chart illustrates which of those stakeholders has decision-making and
approval authority, which are responsible for day-to-day guidance and execution, and which are
supporting the key workstreams and tasks.
RACI Matrix
In a project of this size, there will be several resources assigned to support the completion of critical
tasks, some being completed in parallel, and some sequentially. Diameter will drive the development of
a RACI Matrix (Responsible, Accountable, Consulted, Informed Matrix) to identify the stakeholders
responsible for oversight, monitoring, and execution of various project elements.
Leadership and Steering Committee
Diameter will work with the Pleasanton Program Manager to establish stakeholders to be involved in
program oversight to help with key decisions, approvals, risk resolution, and resource allocation as
required. Strong leadership is crucial in assuring that all resources understand the importance of the
program and what is expected to prevent resourcing conflicts which can result in delays.
Communication Plan and Reporting
Diameter’s final group of governance documents are robust and clearly distinguishes how the different
stakeholders will be engaged throughout the lifecycle of the program. Diameter will develop the program
participants communication plan, reporting requirements, escalation protocols, and program approval
authorities. The Communication Plan and Reporting include the type of information that will be delivered,
objectives, who will receive the information, the format or method of communication, and the timing of its
release and distribution. Communication plans will vary depending on the targeted party, and it is
important to establish such plans early so that no stakeholders are missed, and the appropriate
information is communicated to the right resources. Following the identification of the Communication
Plan and Reporting Requirements, Diameter will help establish escalation protocols which will detail how,
why, and to whom risks and issues will be escalated to ensure there is no ambiguity in when and how to
EXHIBIT A
Docusign Envelope ID: 134A9AB7-298B-4C3D-A5CB-AF281D5118F0
