Memorandum of Understanding <br />City of Pleasanton and Pleasanton Unified School District <br />Regarding Limited Access to Pleasanton Unified School District’s <br />Avigilon Security Camera System <br /> <br />4 <br /> <br />15. The Chief of PPD and the District's Superintendent, or their designees, agree to meet to <br />discuss and resolve any issues arising under this MOU. <br /> <br />16. The person or persons executing this MOU warrant and represent that they have the authority <br />to execute this MOU on behalf of their entity and further warrant and represent that they have <br />the authority to bind their entity to the performance of its obligations hereunder. <br /> <br />17. This MOU and any attachments hereto constitute the entire agreement between the Parties <br />concerning the subject matter hereof and supersedes any and all prior oral and written <br />communications between the Parties regarding the subject matter hereof. <br /> <br />18. The Parties agree and acknowledge that the provisions of this MOU have been arrived at <br />through negotiation and that each Party has had a full and fair opportunity to revise the <br />provisions of this MOU and to have such provisions reviewed by legal counsel. Therefore, <br />any ambiguities in construing or interpreting this MOU shall not be resolved against the <br />drafting party. <br /> <br />19. This MOU shall be governed by and construed in accordance with the laws of the State of <br />California. Venue shall be in a court of competent jurisdiction located in Alameda County, <br />California. <br /> <br />20. No change, amendment, or modification of this MOU shall be valid or binding upon the <br />Parties unless such change, amendment, or modification is in writing and duly executed by <br />both Parties. <br /> <br />21.
