ATTACHMENT 1 <br />SECOND AMENDMENT TO THE <br />LIVERMORE-PLEASANTON FIRE DEPARTMENT JOINT POWERS AUTHORITY <br />AGREEMENT FOR LEGAL SERVICES <br />(Advisory and/or Litigation Services) <br /> <br />This Amendment is entered into on this ____ day of ________________, 2026, by and between <br />the Livermore-Pleasanton Fire Department Joint Powers Authority, a Joint Powers Authority <br />(“LPFD”), and Stoel Rives LLP, a California Limited Liability Partnership (“Attorney”). <br /> <br />Recitals <br /> <br />This Amendment is based on the following facts: <br /> <br />A. On November 13, 2024, LPFD and Attorney entered into an Agreement for Legal Services <br />(“Agreement”). <br /> <br />B. On March 24, 2026, LPFD and Attorney entered into a First Amendment to the Agreement. <br /> <br />C. LPFD and Attorney wish to amend the Agreement to increase the total amount payable <br />from $400,000 to $1,000,000. <br /> <br />Agreement <br /> <br />NOW, THEREFORE, the parties agree as follows: <br /> <br />1. Section 3 of the Agreement (“Compensation”) is amended to read as follows: <br /> <br />LPFD shall compensate Attorney for Services rendered at the hourly rates set forth <br />in the attached Exhibit A. Those hourly rates include all secretarial time, word <br />processing, local telephone costs, time for preparing bills and other general <br />overhead, unless provided otherwise in Exhibit A. Travel time spent commuting to <br />any meeting, appearance, or to attend any other matter related to the Services <br />shall be billed at fifty percent (50%) of the applicable hourly rate (with no separate <br />charge for mileage). All time will be charged by the Attorney in increments of 1/10 <br />of an hour (i.e., six-minute units). The rate structure in general, or the rates of <br />attorneys of particular levels of experience, may be increased or altered from time <br />to time, after written notice to, and approval by, LPFD. No such change shall affect <br />the Services provided under this Agreement. <br /> <br />The total amount payable under this Agreement for Services shall not exceed <br />$1,000,000 without the prior written approval of LPFD. LPFD will reimburse <br />expenses incurred by Attorney in performing the services under this Agreement, <br />as follows: <br /> <br />a. Photocopying at no more than $.10 per page. <br />b. Computerized legal research at the actual amount charged to Attorney <br />(verification to be attached to invoice). <br />c. Statutory fees, witness fees, reporter’s per diem costs, stenographic <br />transcription, service of process fees, courier fees and other charges <br />directly related to the services rendered. <br /> <br />Attorney agrees to send LPFD an itemized invoice monthly, including work <br />performed and expenses.
