2. City data. HdL acknowledges that the business license data is the property of the City. At the termination of this Agreement, the business license data will be available to the City in standard delimited format. 3. Proprietary information. As used herein, the term "proprietary information" means any information which relates to HdL's computer or data processing programs; data processing applications, routines, subroutines, techniques or systems, or business processes. City shall hold in confidence and shall not disclose to any other party any HdL proprietary information in connection with this Agreement or otherwise learned or obtained by the City in connection with this Agreement. The obligations imposed by this Paragraph shall survive any expiration or termination of this Agreement. The terms of this section shall not apply to any information which is public information. J. COMPENSATION 1. Software license fee. The one time software license fee shall be $5,000 which represents a 50% discount from the standard pricing of$10,000 as recognition of the City's role as a"beta" site. This amount shall be due and payable as follows: $2,500 within 30 days or the date of acceptance of the software by the City as set forth in Paragraph F and$2,500 October 1, 1997. 2. Annual maintenance and customer support fee. There is no charge for the first year maintenance and customer support.
