AMA, ..u. <br /> 5. Ci s Use. City shall be allowed use of Vehicle from time to time for public <br /> purposes without cost. However, the dates of such use must be cleared with Kiwanis <br /> and Kiwanis shall have first right in the event of conflicting dates. City shall pay direct <br /> operating costs during such use. <br /> 6. Maintenance. Kiwanis shall exercise due care in the maintenance of Vehicle and <br /> shall provide all necessary upkeep and repair to insure proper functioning of Vehicle. <br /> 7. Alterations. It is the intent of City and Kiwanis that Vehicle will ultimately be <br /> restored to its original appearance and equipment. All alterations shall be consistent <br /> with that goal. City may at any time alter Vehicle at its own expense to meet that goal. <br /> 8. Storage and Inspection. Kiwanis shall arrange for proper covered/enclosed and <br /> secure storage for Vehicle, acceptable to City. City shall have the right at reasonable <br /> intervals to enter upon the premises where Vehicle is located for the purpose of <br /> inspecting the same. Storage on City property will be allowed by City at no cost on a <br /> space available basis. <br /> 9. Indemnity for Loss or Damage. Kiwanis shall indemnify City against all claims, <br /> demands and costs, including reasonable attorneys' fees and judgments, arising out of <br /> or connected in any way with Kiwanis' use,possession and operation of Vehicle. <br /> 10. Termination. City may terminate this lease in the event Kiwanis violate any of <br /> the terms or conditions of this agreement. Should there be violation of any of the terms <br /> or conditions of this lease, Kiwanis shall be given reasonable notice by City to correct <br /> said violation or return Vehicle to City. <br /> 11. Insurance. Kiwanis shall procure and maintain in force during the term hereof <br /> with carriers acceptable to City, a policy or policies of insurance, insuring Vehicle <br /> against such risks and in such amounts as shown on Exhibit C (Certificate of Insurance). <br /> All policies of insurance shall name City and Kiwanis as insured and shall provide that <br /> they may not be canceled or altered without at least 30 days prior written notice to City. <br /> -3 - <br />
