THEREFORE, City hereby leases to Kiwanis and Kiwanis hereby hire from City the aforementioned Vehicle,subject to the following terms and conditions: 1. Term. The term of this lease shall be 15 years beginning on the date of execution of this lease but subject to termination as hereinafter provided. This lease shall be automatically renewed at each expiration for an additional 15 years unless either party gives six months notice prior to the expiration date. 2. Rent. In consideration of the leasing of Vehicle, Kiwanis hereby agrees to pay to City the sum of ONE ($1.00) DOLLAR total rent. As a further consideration, Kiwanis agree to pay all licenses, fees, permits, insurance, and other costs as may be required during the term of this Lease by State, Federal or local laws and to pay all costs necessary to maintain and operate Vehicle in good,usable condition. 3. Use. Kiwanis shall exercise due care in the manner in which and purpose for which Vehicle shall be used and shall comply fully with all laws and regulations relating to the possession, maintenance and use of this kind of property. Vehicle shall be used exclusively for purposes of exhibition,display and participation in parades,and in no event, shall be used for private purposes of members of the Kiwanis or for non- public or political function or purposes. Kiwanis shall operate Vehicle in conformance with all local, State and Federal laws and in conformance with the Rules and Regulations for operation,Exhibit B,attached and incorporated herein. 4. Events. Schedule A attached and incorporated herein sets forth those events agreed upon by City and Kiwanis in which Vehicle may be used. At the request of either City or Kiwanis, the parties shall consider modification of Schedule A. The City Manager of City and President of Kiwanis are hereby authorized to jointly approve modifications of Schedule A. Use of Vehicle for parades and exhibits outside the Livermore-Amador Valley may be permitted in accordance with Schedule A. However, Vehicle shall not be driven by its own power to such events but rather shall be trucked/trailered or hauled by methods approved by City. -2-
