25. MIDTERM REVIEW <br />A. The purpose of this section is to provide a process for a midterm review of the terms and <br />conditions of the TSA in the event that there is a legitimate and substantial change in <br />conditions or law affecting the majority of the Operators or the PPD. <br />B. A midterm review, when granted by the PPD, shall not automatically authorize a change in the <br />terms and conditions of the TSA. If a midterm review is announced by the Police Chief, it is the <br />responsibility of the Police Captain to conduct the review of the conditions which initially <br />caused the request to be communicated and to determine if a change is justified. <br />26. ADVERTISING <br />An Operator shall not display any sign or engage in any advertisement indicating an official or <br />unofficial connection with the City of Pleasanton, PPD, or the Department of Motor Vehicles. <br />27. CHANGES <br />Changes from full compliance with the TSA shall not be authorized by verbal agreement. Any <br />changes shall be mutually agreed upon between the Operator and PPD and subject to a written <br />amendment to the TSA executed by the Operator and PPD. <br />28.TERMINATION <br />The TSA may be terminated by either party by giving written notice to the other party. <br />29.OPERATOR APPROVAL AND CERTIFICATION <br />I certify that all drivers operating under this TSA are qualified and competent. I further certify that I <br />have read and understand the TSA and agree to abide by all of its provisions. I further agree to <br />indemnify, defend and hold harmless the City of Pleasanton, its officers, agents, employees and <br />volunteers from any and all claims and losses accruing or resulting to the Operator in connection <br />with the performance of the TSA, and from any and all claims and losses accruing or resulting to <br />any person, firm or corporation who may be injured or damaged by the Operator in the <br />performance of the TSA. The Operator and its agents and employees of the Operator, in the <br />performance of the TSA, shall act in an independent capacity and not as officers or employees or <br />agents of the City of Pleasanton. I certify that the address below is the address to which any <br />notification from the City of Pleasanton as required under the TSA shall be sent to me as an <br />Operator. I warrant and represent that I am executing the TSA in my authorized capacity on behalf <br />of the business below and individually. <br />(Signatures on following page} <br />Page 23 of 24 <br />
