PLEASANTON POLICE DEPARTMENT TOW SERVICE AGREEMENT 07/01 /2023 — 06/30/2027 This Tow Service Agreement ("TSA" or "Agreement") is between the CITY OF PLEASANTON, a municipal corporation ("City"), and bA • S &.l-t-pYK0-fi'VR- Wt 1 V1 C- a , ("Tow Company" or "Operator") This Agreement contains terms and conditions with which the Operator agrees to comply with in order to receive a rotation tow listing in the Rotation Tow Program of the Pleasanton Police Department (PPD). Compliance with all of the terms and conditions of the TSA is mandatory as a condition for the Operator to participate in the Rotation Tow Program. 1. DEFINITIONS A. Enrollment Period: The time period when an Operator may submit an application to be considered for enrollment in the PPD's Rotation Tow Program. For the term July 1, 2023 - June 30, 2027, the enrollment period is from June 1, 2023 to June 30, 2023. For subsequent terms, the enrollment period is from May 01 to June 30 of each year. B. Operator: A tow service owner or managing director of a tow business who has agreed to abide by the TSA to be part of the Rotation Tow Program. "Operator" shall include the tow service and the tow service's owners, employers, employees and agents. C. Police Chief: Police Chief or the Police Chief's designee. D. Rotation Tow Program: The tow service program in which Operators that have been approved by the PPD to provide tow service as requested by the PPD in accordance with the TSA. 2. OPERATOR'S STATUS An Operator shall not be considered an agent or employee of the City when performing services under the TSA. All persons working for or under the direction of Operator are its agents and employees and are not agents or employees of the City of Pleasanton. 3. TERM This Agreement shall commence on July 1, 2023 and expire on June 30, 2027, unless the City exercises its option to extend the contract for 1 year commencing on June 30, 2027. If City elects to extend the Agreement, it shall notify the Operator in writing that the Agreement is being extended. 4. ROTATION TOW PROGRAM A. When an Operator is approved by the PPD for inclusion in the Rotation Tow Program, and after the Operator has executed the TSA, the Operator shall be placed, along with other such Operators, on the rotation tow list to provide tow service as requested by the PPD. Each Operator shall advance up the rotation list after each PPD call for service, until the Operator is at the top of the list. Once an Operator is at the top of the rotation tow list, the Operator shall then be the next to be called for service by the PPD. After completion of the tow, or as Page 3 of 24
