5. Term of Agreement. The privilege given to license pursuant to this agreement is 5 years. a) The term of this Agreement shall commence on January 25, 2006 and expire 5 years thereafter on January 25, 2011, unless amended or sooner terminated pursuant to the terms hereof. Either Zone 7 or Licensee may terminate this Agreement with or without cause upon providing the other party thirty (30) days written notice. b) Upon termination of this Agreement, Licensee at its sole cost and expense shall remove any facilities installed on the SITE and, to the extent requested by ZONE 7, restore the SITE as nearly as possible to the condition in which it existed immediately prior to the date of execution of this LICENSE. 6. Repair of Damal!e. Licensee shall promptly, at its sole cost, repair any and all damage to the Zone 7 Property and any personal property located thereon and restore the Zone 7 Property to its improved condition as set forth in Exhibit B. 7. Zone 7's Ril!ht to Cancel. In addition to the termination rights provided in Paragraph 5 above, Zone 7 reserves the right to suspend all activities under this Agreement or to cancel or terminate this Agreement upon the happening of the following conditions. Upon such cancellation, Licensee shall immediately surrender the Zone 7 Property. a) The Licensee is in material breach of any of the terms, covenants or conditions of this Agreement, or should any activities or use under this Agreement interfere with or detrimentally affect Zone 7 operations or uses, as reasonably determined by the Zone 7 in its sole discretion. The Zone 7 intends to allow reasonable time, as determined by Zone 7, to cure such default or breach or interference but reserves the right to cancel this Agreement immediately if in the Zone 7's sole judgment such action is warranted by such default or breach or interference. b) Should this Agreement be cancelled under this Section 7, Zone 7 may remove from Zone 7 Property all property and equipment of Licensee, its agents, invitees or vendors, all at Licensee's sole expense. 8, Compliance with Laws; Rel!Ulatorv Aporovals. Licensee shall, at its sole expense, conduct and cause to be conducted all activities on the Zone 7 Property in compliance with all laws, regulations, codes, ordinances and orders of any governmental or other regulatory entity, whether presently in effect or subsequently adopted, and whether or not in the . . contemplation of the parties. Licensee shall, at its sole expense, procure and maintain in force at all times during its use of the Zone 7 Property any and all business and other licenses or approvals necessary to conduct the activities allowed hereunder.
