shall have actual knowledge thereof, at its principal <br />corporate trust office in San Francisco, California. <br /> <br /> The Trustee has no obligation or liability to the <br />Owners to make payment of principal, premium, if any, or <br />interest pertaining to the Certificates except from Base <br />Rental Payments. No provision of this Trust Agreement shall <br />require the Trustee to expend or risk its own funds or <br />otherwise incur any financial liability in the performance of <br />its duties hereunder, or in the exercise of any of its rights <br />and powers, if it shall have reasonable grounds for believing <br />the repayment of such funds or adequate indemnity against such <br />risk or liability is not reasonably assured to it. <br /> <br /> ARTICLE IX <br /> AMENDMENT OF OR SUPPLEMENT TO <br /> TRUST AGREEMENT <br /> <br /> SECTION 9.01. Amendment or Supplement by Consent of <br />Owners. The Trust Agreement and the rights and obligations of <br />the Corporation and the City and the Owners and the Trustee <br />hereunder may be amended or supplemented at any time by an <br />amendment hereof or supplement hereto which shall become <br />binding when the written consents of the Owners of a majority <br />in aggregate principal amount of the Certificates then <br />Outstanding, exclusive of Certificates disqualified as <br />provided in Section 9.02, are filed with the Trustee. No such <br />amendment or supplement shall (1) change the fixed Certificate <br />Payment Date of any Certificate or reduce the rate of interest <br />represented thereby or extend the time of payment of such <br />interest or reduce the amount of principal represented thereby <br />without the prior written consent of the Owner of the <br />Certificate so affected, or (2) reduce the percentage of <br />Owners whose consent is required for the execution of any <br />amendment hereof or supplement hereto, or (3) modify any of <br />the rights or obligations of the Trustee without its prior <br />written consent thereto, or (4) amend this Section 9.01 <br />without the prior written consent of the Owners of all <br />Certificates then Outstanding. <br /> <br /> The Trust Agreement and the rights and obligations <br />of the Corporation and the City and the Owners and the Trustee <br />hereunder may also be amended or supplemented at any time by <br />an amendment hereof or supplement hereto which shall become <br />binding upon execution without the written consents of any <br />Owners, but only to the extent permitted by law and after <br />receipt of an approving Opinion of Counsel and only for any <br />one or more of the following purposes -- <br /> <br /> 43 <br />1451S <br /> <br /> <br />
