(a) to add to the agreements, conditions, covenants <br /> and terms required by the Corporation or the City to be <br /> observed or performed herein other agreements, <br /> conditions, covenants and terms thereafter to be observed <br /> or performed by the Corporation or the City, or to <br /> surrender any right or power reserved herein to or <br /> conferred herein on the Corporation or the City, and <br /> which in either case shall not materially adversely <br /> affect the interests of the Owners; or <br /> <br /> (b) to make such provisions for the purpose of <br /> curing any ambiguity or of correcting, curing or <br /> supplementing any defective provision contained herein or <br /> in regard to questions arising hereunder which the <br /> Corporation or the City may deem desirable or necessary <br /> and not inconsistent herewith, and which shall not <br /> materially adversely affect the interests of the Owners; <br /> or <br /> <br /> (c) To modify, amend or supplement this Trust <br /> Agreement or any agreement supplemental hereto in such <br /> manner as to permit the qualification hereof and thereof <br /> under the Trust Indenture Act of 1939 or any similar <br /> federal statute hereafter in effect or to permit the <br /> qualification of the Certificates for sale under the <br /> securities laws of the United States of America or of any <br /> of the states of the United States of America, and, if <br /> they so determine, to add to this Trust Agreement or any <br /> agreement supplemental hereto such other terms, <br /> conditions and provisions as may be permitted by said <br /> Trust Indenture Act if 1939 or similar federal statute~ or <br /> <br /> (d) To make any modifications or changes necessary <br /> or appropriate in the Opinion of Counsel to preserve <br /> protect the exemption of interest represented by the <br /> Certificates from federal income taxation. <br /> <br />SECTION 9.02. Disqualified Certificates. <br />Certificates owned or held by or for the account of the City <br />(but excluding Certificates held in any pension or retirement <br />fund of the City) shall not be deemed Outstanding for the <br />purpose of any consent or other action or any calculation of <br />Outstanding Certificates provided in this Article, and shall <br />not be entitled to consent to or take any other action <br />provided in this Article or Section 7.01 hereof, and the <br />Trustee may adopt appropriate regulations to require each <br />Owner, before his consent provided for herein shall be deemed <br />effective, to reveal if the Certificates as to which such <br />consent is given are disqualified as provided in this Section. <br /> <br /> 44 <br />1451S <br /> <br /> <br />
