• <br /> <br />any of their departments. City shall make all necessary repairs <br />to the premises, except where the repairs exceed $2,500. All <br />improvements made by the City to the premises which are so <br />attached to the premises that they cannot be removed without <br />material injury to the premises shall become the property of the <br />Owners. <br />Not later than the last day of the term, City shall, at <br />City's expense, replace the fence which has been removed, remove <br />all of City's personal property and those improvements made by <br />the City that have not become the property of Owner, including <br />fences, striping, and the like; repair all injury done by or in <br />connection with the installation or removal of the property and <br />improvements; and surrender the premises in as good condition as <br />they were at the beginning of the term, reasonable wear, and <br />damage by fire, the elements, casualty, or other cause not due to <br />the misuse or neglect by City or City's agents, servants, <br />visitors or licensees, excepted. All property of the City <br />remaining on the premises after the last day of the term of this <br />license agreement shall be conclusively deemed abandoned and may <br />be removed by Owner. <br />5. Hold Harmless. City shall and will assume the defense <br />and indemnify and save the Owner, its employees and agents, free <br />and harmless from and against any and all claims, demands, <br />liabilities and judgments for or by reason of any damage, loss, <br />personal injury or death, caused by or arising out of City or its <br />agent's act or failure to act, in the occupancy, maintenance, <br />- 3 - <br />
