(b) ABAG 8. Board of Direc (a) 9 (b) C7 POWER will compensate ABAG for services rendered. Directors and Alternates. The Boazd is comprised of one director and, in a directo 's absence, an alternate director. Each Member will appoint one director and on alternate. A director and/or alternate director may be. but is not required to be, elected official of the Member. - Term. irectors serve a term of five (5) yeazs unless removed eazlier by the appoin ing Member. Directors may serve any number of terms. (c) Com a sation. Directors and alternate directors aze not entitled to compensation. The B azd may authorize reimbursement of expenses incurred by directors or alterna a directors. (d) Dele a ion of Powers. The Board is, pursuant to Section 9(b), required to delegat certain powers to specified committees and may delegate other powers to commi ees but may not delegate the power to dismiss ABAG or amend the . Bylaw . Committees. X11 directors are eligible for appointment to a committee. (a) (b) forth ir~ the Bylaws. The Board may create an Executive Committee as set Pro ra Committees. The Boazd hereby delegates the power to oversee imple entation of a program to a Program Committee as set forth in the Bylaws, provid d each such director represents a Member which is participating in the Progr (c) Othe Byla 10. Officers and (a) (b) The Board may create other committees as set forth in the Theo icers of ABAG POWER aze the Chair, Vice-Chair, President, Chief Financ al Officer/Treasurer and Secretary. The C air and Vice-Chair are directors elected or appointed by the Boazd at its first m eting. The term of office for Chair and Vice-Chair is one year beginning Janu 1. The President, Secretary and Chief Financial Officer/Treasurer serve as set rth in the Bylaws. The duties of the officers are described in the Bylaws.
