F~her Bundolo reserves the ght to establish, <br />business h , <br />for the benefit and appurtenant to Parcel 1 a non-exclusive <br />easement for ingress and egress on, over and across that portion of <br />Parcel 2 lying within the Parts Delivery Easement described on <br />Exhibit "II" attached hereto and incorporated herein by this <br />reference for parts delivery and pickup. Neither Easement provided <br />for in this Paragraph 1.1 shall include any rights to parking or <br />the parking spaces and related facilities .located on Parcel 2. <br />1.2 Control of Parking; Maintenance. Bundolo further <br />reserves the right to designate, in connection with the Driveway <br />Easement, the owner of Parcel 2 as the responsible party in charge <br />of maintenance of the Driveway Easement and Parts Delivery Easement <br />and keeping such Easements free of parked vehicles. The owner of <br />Parcel 2 shall be responsible for the. payment of seventy-five <br />percent (75$) of the maintenance costs. incurred in connection with <br />the Parts Delivery Easement, and the owner of Parcel 1 shall be <br />responsible for the payment of twenty-five percent (25~) of such <br />maintenance costs. Any dispute shall be resolved by arbitration <br />pursuant to the provisions of Paragraph (11) hereof. The owner of <br />Parcel 1 shall have no obligation with respect to the maintenance. <br />of any portion of Parcel 2 other than the Parts Delivery Easement. <br />(2) UTILITY EASEMENT. <br />2.1 Grant of Easement. Bundolo reserves the right to <br />establish, for the benefit and appurtenant to Parcel 1, a non- <br />exclusive easement for access to all sewer, water, electrical, gas, <br />telephone and other utility services and. lines located on Parcel 2 <br />including without limitation all transformers and meters, which <br />- 2 - <br />
