Said agreement sets forth the terms and conditions of City's obligations for said expansion; and Whereas, City has entered into an agreement, dated August 31, 1980, by and between City and CH2M Hill, engineers, providing for the completion of such environmental analysis and reports, engineering plans and specifications, and construction management as may be required to complete expansion of the LAVWMA facilities. Said Agreement provides for contrasting for said work by City under Task Orders; and Whereas, on August 15, 197.8, ..the. Board of Directors of the Dublin San Ramon Services District"(DSRSD) agreed to the expansion of its treatment facilities to_provide City. an additional 5~J0,000 gallons per day of treatment capacity subject to the completion of engineeringfeasibility studies and. the acceptance of same by DSRSD; and Whereas, on February 5, 1980, the Board of Directors of the Dublin San Ramon Services-District (DSRSD) entered into an Agreement with Brown and Caldwell, Inc., for .preliminary engineering feasibility studies, cost estiriates, etc. Said resolution and associated contract is attached hereto as Exhibit "C", and made a part hereof by reference; and Whereas, Owner has entered into an Agreement of Sale by and between Owner and The Prudential Insurance Company of America (hereinafter Proposed Assignee) for conveyance of title to the property described in .Exhibit "A", attached hereto, to Proposed Assignee;. and -~-
