NOW, THEREFORE THE PARTIES HERETO AGREE AS FOLLOWS: <br />1. Recitals Incorporated. The parties acknowledge and agree that the <br />foregoing recitals are true statements of fact and are incorporated herein by this <br />reference. <br />2. Definitions. For purposes of this Agreement, the following words and <br />terms, the first letters of which are capitalized throughout this Agreement, shall <br />have the meanings respectively ascribed thereto: <br />Administrative Target Level -with respect to amounts on deposit in the <br />Rate Stabilization Fund, an amount equal to five times (5.0x) the Maximum <br />Annual Expansion Projects Debt Service. <br />Agreement -this Financing Administration Agreement, and any duly <br />authorized and executed amendments thereto. <br />Bonds -bonds, certificates of participation, notes, leases, installment <br />sales agreements, or other evidences of indebtedness of District and LAVWMA <br />payable from Regional Connection Fees and/or Regional Service Charges <br />issued for, or entered into in connection with, financing the VWVfP Stage 4 <br />Expansion Project, the LAVWMA Expansion Project and District's Administration <br />Building. <br />Bond Documents -collectively, any and all trust agreements, installment <br />sales agreements, leases, bonds, certificates of participation, official statements, <br />certificate purchase agreements, marketing agreements, notes, and other <br />documents pursuant to which District is, or becomes, obligated to carry out <br />certain duties, or refrain from certain activities, all in furtherance of, and <br />consistent with, the issuance, sale, and retirement of Bonds for the construction <br />of the LAVWMA Expansion Project, the WWTP Stage 4 Expansion Project and <br />District's Administration Building. <br />Agmt-41 3 <br />f/sh/sh/DSRSD <br />DES:r <br />12/S~OOr <br />
