all claims to or against them by the City or any third person, <br />and the City shall defend and indemnify the School District <br />against all liability and loss arising from such claims or from <br />the School District's exercise of the rights conferred by this <br />paragraph. <br />16. Insurance. After the City's acceptance of the City <br />Facility, City shall keep or cause to be kept insured, in the <br />amount not less than specified in paragraph 19 herein, at City's <br />sole cost and expense, for the mutual benefit of School District <br />and City, all improvements located on or pertinent to the City <br />Facility against loss or damage by fire and such other risks as <br />are now or hereafter provided to other City structures. The <br />amount of the insurance shall be sufficient to prevent either <br />School District or City from becoming a co-insurer under the <br />provisions of the policies, but in no event shall the amount be <br />less than 80$ of the then actual replacement cost (herein called <br />full insurable value). City shall not carry any insurance the <br />effect of which would be to reduce the protection or payment to <br />School District under any insurance that this Agreement obligates <br />City to carry. If any dispute whether the amount of insurance <br />complies with any of the above cannot be resolved by agreement, <br />School District may, not more often than once every twelve (12) <br />months, request the carrier of the insurance then in force to <br />determine the full insurable value as defined in this provision, <br />and the result and the determination shall be conclusive between <br />the parties for the purpose of this paragraph.
