Operation and Maintenance <br />Costs shall be calculated and set forth in the General Budget for <br />each Fiscal Year. Further, from and after such time as each <br />Party has become a Participating Member in one or more Projects <br />(irrespective of whether all Parties are Participating Member's in <br />any one Project) and Operation and Maintenance Costs have been <br />allocated among all Parties, Administrative Overhead Costs of the <br />Authority likewise shall be allocated in the same proportion as <br />Operation and Maintenance Costs as provided in Item (c) of <br />Paragraph XV. <br /> <br /> D. Ownership: Each Party shall own an undivided portion <br />of any Project or Projects with respect to which it is a <br />Participating Member equal to the percentage of the Capital <br />Expenditures for such Project or Projects either (i) paid for by <br /> <br />it or (ii) paid for by state or federal grant monies allocated to <br />it. <br /> <br /> E. Capacity Rights: Each Party shall own and possess <br />Capacity Rights in a Facility of a Project with respect to which <br />it is a Participating Member proportionately equivalent to its <br />respective Ownership interest in such Project or Projects. Any <br />Member in a Project may transfer to any Party any portion of its <br />Capacity Rights with respect to such Project as such <br />Participating Member and Party may agree; provided, however, that <br />the Participating Member proposing to transfer such Capacity <br />Rights or any portion thereof, must first offer on the same terms <br />and conditions said rights to all Participating Members of such <br /> <br /> 21 <br /> <br /> <br />
