An annual audit of District's <br /> books and accounts established pursuant to this agreement shall <br /> be performed in accordance with enterprise accounting guidelines <br /> by an independent certified public accountant appointed by <br /> District in the regular course of the conduct of District's <br /> annual audit. <br /> (b) Maintenance, Operation, Replacements and Repairs. <br /> Except as hereinbelow provided, District shall, without prior <br /> authorization of City, expend all funds necessary or appropriate <br /> for the maintenance, operation, repair and replacement of the <br /> Regional Sewerage Facilities, facilities of TWA, LAVWMA and such <br /> other Joint Use Facility as to which the parties may agree; <br /> provided, that only revenues derived from the basic uniform <br /> regional service charge or equivalent charge imposed pursuant to <br /> paragraph 10(b) shall be used for such purpose. Without <br /> limitation upon the foregoing, said expenditures shall include <br /> payments for costs and expenses of maintenance and operation of <br /> LAVWMA's facilities (subject to any contractual obligations of <br /> LAVWMA to the contrary, and effective from and after the date <br /> next following the date of this agreement upon which any changes <br /> in the local charges described in paragraph 10(d) become <br /> effective), TWA's facilities or other Joint Use Facilities, <br /> expenditures for improvements necessary for compliance with <br /> regulations implementive of the Clean Water Acts, repair and /or <br /> replacement in kind of worn or failed equipment which threatens <br /> the reliability or efficiency of the operation of the Regional <br /> 36 <br />
