Section 5 above, Lessee shall be entitled to a reasonable quarterly distribution from Project income. The amount of such quarterly distribution shall be included in the Annual Operating Budget and shall be based on Lessee's time, costs and materials spent for the Project, including a reasonable allocation for overhead. (c) In the event Lessee syndicates its interest in the Project, Lessee agrees and acknowledges that the syndication proceeds, less syndication expenses, shall belong to the Project and any use of the net proceeds shall be subject to Lessor's approval. 7. Ouiet Enjoyment. Lessor covenants that, subject to the terms of this Lease, Lessee shall peaceably hold and quietly enjoy the Land and the Improvements during the entire term of this Lease without hindrance or interruption by Lessor or by anyone lawfully or equitably claiming by, through or under Lessor. 8. Title to Improvements. (a) Title to all buildings, structures and improvements that may from time to time be situated on the Land (the *Improvements "), and all carpets, draperies, appliances, furniture, equipment and fixtures that may from time to time be used or intended to be used, in connection with the Improvements, shall be and remain in Lessee for and during the Term of this Lease. Upon the date set forth in Section 3 above for the termination of this Lease, or upon earlier termination of this Lease, whichever first occurs, all of Lessee's rights and title to all Improvements and said carpets, draperies, appliances, furniture, equipment and fixtures on the Property shall pass to and vest in Lessor without cost or charge to Lessor, subject to any and all liens, encumbrances and claims against the property conveyed.
