(b) Lessee, on termination of this Lease, shall execute and deliver any and all deeds, bills of sale, assignments and other documents which in Lessor's sole judgment may be necessary or appropriate to transfer to Lessor clear title to any of the property described in subsection 8(a) located on the Land at the time of such termination. The preparation and recording of such documents shall be at Lessor's sole cost and expense. 9. Lessor's Right of Inspection. Lessor may, at any reasonable time and from time to time during the Term hereof, enter upon the Land for the purpose of inspecting the Improve- ments now or hereafter located thereon and for such other purposes as may be necessary or proper for the reasonable protection of its interests. 10. permits. Licenses and Easements. Lessor will from time to time during the Term execute and deliver (i) all applica- tions for permits, licenses or other authorizations relating to the Land required by any municipal, county, state or Federal authorities, or required in connection with the construction, reconstruction, repair, alteration or use of the Land or any Improvements, and (ii) all instruments required to grant dedications, rights -of -way and easements in favor of municipal and other governmental authorities or public utility companies incident to the installation of water lines, sewers, electricity, telephone, gas and other facilities, utilities and improvements reasonably required for the Project or the use and occupancy of the Land and Improvements. 11. Taxes and Assessments. (a) If the Land and /or Improvements are not exempt from real property taxes, subject to subsection 11(c), as a part of the consideration for the execution and delivery of this Lease, Lessee covenants and agrees to pay and discharge, before delinquency, all taxes, all special and general assessments and all other charges of every kind which during the Term hereof are, or may be, levied, charged, assessed C:GDLEASE.EHI -17-
