13.

14.

15.

16.

Other Insurance: The Association may require or acquire from time to
time such other forms of insurance coverage as it believes necessary, but
shall pay all premiums therefor.

Term: The term of this agreement shall be from October 1, 1997, to
September 30, 2002, inclusive. This contract, and appointment of the Association
as the County's agent, shall be automatically renewed for three (3) successive five
(5) year terms, unless either party provides written notice to the other party at least
one year in advance of the termination dates (September 30, 2002, 2007 and 2012).

Land Use Protocol: County is negotiating an agreement with the City of
Pleasanton to be entitled "Land Use Protocol" to address jurisdictional issues
related to land uses on the Fairgrounds. County agrees that it will not enter into
such an agreement with the City of Pleasanton, or subsequently amend it, unless
such agreement is no more restrictive regarding the rights of the County and the
Association and provides no more rights to the City of Pleasanton than the draft
agreement dated August 19, 1997. To the extent such protocol requires the County
to review and act on proposed land uses to determine consistency with the
historical land uses of the Fairgrounds, and to approve new public uses, or private
uses, as defined in the protocol, the Association shall submit proposed uses to the
County for approval pursuant to the protocol. It shall be the County's duty to
provide the Association with a current copy of any protocol adopted by the City
and County.

Legal Compliance: The Association shall observe and comply with all applicable
laws, ordinances, codes and regulations of governmental agencies, including
federal, state, municipal, and local governing bodies having jurisdiction over the
scope of services or any part hereof, including all provisions of the Occupational
Safety and Health Act of 1979 and all amendments thereto, and all applicable
federal, state, municipal, and local safety regulations. All services performed by
the Association must be in accordance with these laws, ordinances, codes and
regulations. The Association shall indemnify and save the County harmless from
any and all liability, fines, penalties and consequences from any non-compliance
or violations of such laws, ordinances, codes and regulations.

Accidents: If a death, serious personal injury or substantial property damage occurs
in connection with the performance of this agreement, the Association shall
immediately notify the County Risk Manager's Office by telephone. The
Association shall promptly submit to County a written report, in such form as may
be required by County of all such accidents which occur in connection with this
contract. This report must include the following information: (1) name and address
of the injured or deceased person(s); (2) name and address of contractor's
subcontractor, if any; (3) name and address of contractor's liability insurance
carder; and (4) a detailed description of the accident and whether any of the
County or Association's equipment, tools, material, or staff were involved.
