bind and

033285

6. Binding Effect of Agreement. The burdens of this Agreement

the benefits of this Agreement inure to each party's successors
in interest. The covenants and conditions set forth herein are deemed

to run with the land.

7.
contractor

8.

Relationship of Parties. Property Owner is an independent

and not the agent of City.

Use. Property Owner intends to develop the property to

provide medical office and related buildings and site improvements (such
as, but not limited to: parking~ site access, walkways and landscaping).
Property Owner desires to construct a hospital on [he property, but
acknowledges that zoning existing at the time of the execution of this
Agreement does not permit such use. City is not bound or otherwise
required to change existing zoning by this Agreement.

Existing zoning of the Real Property is C-R (Regional-Commercial),
which does not permit the construction of a hospital. Under the existing
General Plan designation which is C-O (Commercial & Office) zoning of
the Real Property to O (office) is permissible and said office district
zone permits the construction and operation of a hospital. City shall
take all steps necessary to preserve this General Plan designation and
zoning option to permit Property Owner to apply for a zoning district in

which a hospital may be constructed.
9. Integrated Project.

(a) It is the intent of the City and Property Owner that the
Project shall be completed through the integrated development of the

Real Property over an extended period of time. Complete and satisfactory
development of the Real Property is dependent on the successful completion
of the entire project.
