Railroads will construct or cause to be constructed all tracks and related facilities in permanent realignment on property, subgrade and bridge structures provided by local agencies, and, subject to the limitations set forth herein, at the cost of Project: a. SP will remove or relocate as required, portions of its tracks at Radum and East Pleasanton, as shown on said Exhibit B, Detail B. Work within WP right—of—way will be performed by WP. b. SP will connect the ends of its mainline track at Niles to WP as shown in Detail A of Exhibit B. Work within WP right—of—way will be performed by WP. C. SP and WP will change or relocate signal and communication facilities, and will install, relocate, or remove all grade crossing warning devices. d. To facilitate construction of the three underpass structures, WP trains will be temporarily detoured via SP, between a point near Sunol, WP Milepost 37.0, and the East Pleasanton Yard, Milepost 42.7, shown on Details T—S and T—R of Exhibit B. Railroads, as part of the Project expenses, shall construct temporary shoofly track connections, including the subgrade and any necessary supporting structures therefor. Railroads will also make temporary wiring connections so that existing signals along SP main line, within the above detour limits, will function as a part of WP's existing centralized traffic control system (TCS). Upon completion of the three underpasses and restoration of WP track thereon, said temporary connections shall be removed, as part of the Project expense. Provided, however, that Railroads may at their option construct the aforementioned shoofly tracks on subgrade to be constructed by local agencies. e. WP and SP will furnish such representatives, engineering inspectors, watchmen, flagmen, and conductor and engineer pilots as Railroads deem necessary to protect and safeguard property, engines, trains and cars during the construction of the Project. 5
