3. Rental. Lessee covenants and agrees to pay City rent in the amount of ONE AND <br />NO/ I OOTHS DOLLAR ($ 1.00) annually commencing on the effective date of this lease. <br />4. Purposes. The Property shall be used exclusively for the purpose of providing <br />services as stated above. Lessee shall not use the Property for any other purpose not related to <br />these services. <br />5. Repairs and Maintenance. The Property, including the Facility, is leased in an "as <br />is" condition. Lessee shall keep the interior of the Facility in good repair, including regular <br />custodial service and refuse collection services, during the term of this lease at Lessee's own <br />expense. Upon termination of this lease, Lessee s hall yield up the Property to City in good <br />condition and repair (loss by fire and ordinary wear excepted). City shall maintain the grounds <br />and the Facility's roof, exterior walls and doors, heating and air conditioning systems, windows, <br />security system including locks, water utilities, pest control, carpeting/flooring, painting and <br />electrical systems as deemed appropriate by City. <br />6. Improvements. Lessee shall make no improvements, alterations or additions to <br />the Property, Facility or signage on the Property, including modification of the security, <br />plumbing and electrical systems, without the prior approval of City, which may require <br />additional ins urance and permits. The City may elect to have all improvements completed under <br />its direction. If the Lessee obtains approval to make improvements to the Facility or Property <br />and contracts directly with a contractor to do so, Lessee shall cure immediately any mechanics <br />liens filed on the Property by that contractor or s ubco ntractor or post a statutory mechanic's lien <br />release bond within seven (7) days after the filing of any mechanics lien. <br />7. <br />computers . <br />Equipment. Lessee agrees to pay for all o ther utilities including the in stallation and monthly cost for <br />telephone and computer services and refuse collection. Lessee agrees to practice good <br />conservation techniques in an effort to keep City paid utility costs at a minimum. <br />9. Liability. City makes no warranty or representation of any kind concerning the <br />Property or Facility, or the fitness of the Property or Facility for the use intended by Lessee. <br />Lessee has inspected the Property and Facility, knows and accepts it s condition, waives any <br />express or implied indemnity against City. Lessee releases City, members of the City Council, <br />its agents, officers and employees for cl aims from any damage to the property of Lessee or for <br />any loss of bus iness due to the partial or complete closure of the Facility or parking provided on <br />th e Property. Lessee agrees to indemnify, hold hannless and defend the City, members of the <br />City Council, its agents, officers and employees against any and all claims for liability, for any <br />injury to or death of any person, or damage to any property whatsoever caused by, created by , or <br />in any way connected with Lessee's use of the Property or Facility.
