The Parties acknowledge that the primary <br />repository of City budget and planning data is the Workday cloud service under the Workday <br />Agreement; Porterhouse's obligations under this Section apply to City Materials in <br />Porterhouse's own possession or control, including content in the Porterhouse.ai Budget Book <br />service environment described in an SOW. <br />8.5 Audit Support. On the City's reasonable request, Porterhouse shall provide <br />documentation of its security practices and available third-party audit reports. <br />Section 9: Affiliates <br />City-related entities, including component units, authorities, and agencies under the City's <br />control, may receive the benefit of Services under a City SOW, and their use is deemed the <br />City's use. Any such entity may also enter into its own SOW under this PSA, in which case it is <br />treated as the "City" under a separate and severable agreement. Neither the City nor any <br />related entity has rights under the other's SOWs, and breach or termination of one SOW does <br />not affect another. <br />Section 10: Fees and Expenses <br />10.1 Fees. The City shall pay the fees stated in each SOW within the Payment Period. Except as <br />expressly stated in the Agreement, fees are non-refundable. <br />10.2 Expenses. The City reimburses expenses only if the SOW says so. Where the SOW <br />provides for travel, Porterhouse shall bill only reasonable travel costs for trips approved by the <br />City in advance, per trip, consistent with City travel policies. <br />10.3 Late Payment. Undisputed amounts not paid within the Payment Period may accrue <br />interest at the lesser of 1.5 percent per month or the maximum rate permitted by Law. <br />10.4 Expense Cutoff. Porterhouse shall invoice any reimbursable expense within 120 days after <br />it is incurred. <br />10.5 Sole Compensation. Section 10 states the City's entire payment obligation; no royalties or <br />other consideration are owed. <br />10.6 Taxes. Fees are exclusive of taxes. The City is a tax-exempt governmental entity as <br />described on the Cover Page and will provide exemption documentation on request; <br />Porterhouse shall not invoice exempt taxes.
